BuiltGrid Connect Addendum

This Addendum applies where Client purchases BuiltGrid Connect. It supplements the BuiltGrid Platform Terms of Service (Terms). If there is any conflict, this Addendum prevails.

A. Order of Precedence
If there is any inconsistency, the following order applies: (1) this Addendum; (2) the Order Form; (3) the Terms; (4) documentation referenced by URL or provided by BuiltGrid.

B. Scope of BuiltGrid Connect
BuiltGrid Connect comprises enterprise features and services enabling data feed integrations with Client’s construction management systems, supplier connectivity, procurement enhancements, scheduling support and related dashboards and analytics. Environments may include production and staging as agreed. Usage metrics are as specified in the Order Form, which may include monthly home start counts, integrations and API call allotments..

C. Implementation and Enablement Services
BuiltGrid will provide onboarding, configuration and enablement services to support Client’s adoption of BuiltGrid Connect. Where applicable, the parties may agree a Statement of Work (SoW) describing deliverables, milestones, assumptions and acceptance criteria. Client will: (a) provide timely access to systems, test data and subject matter experts; (b) appoint a project lead; and (c) review and accept deliverables in a timely manner. Changes to scope will be managed through a written change request signed by both parties, including impacts to timeline and Fees.

D. Integrations and Data Feeds
Integrations may be implemented via APIs, webhooks, flat‑file transfers such as SFTP, or other methods agreed in writing. The parties will cooperate on data mappings and test plans. Acceptance of a data feed occurs when the feed meets the acceptance criteria agreed in writing, including field mappings and basic reconciliation checks, using correct source data. Client is responsible for procuring any third‑party licences and cooperation required from its other vendors. BuiltGrid may apply reasonable rate limits and technical controls for system stability.

E. Service Levels and Availability
BuiltGrid targets 99% monthly availability for production BuiltGrid Connect services, excluding Scheduled Maintenance and events beyond BuiltGrid’s reasonable control. “Scheduled Maintenance” means planned maintenance windows notified at least 48 hours in advance and ordinarily conducted outside Australian business hours. If monthly availability falls below 99%, Client will be entitled to a service credit of 2.5% of the monthly BuiltGrid Connect subscription; below 95%: 5%; below 90%: 10%. Service credits are applied to the next invoice and are the exclusive remedy for availability shortfalls.

F. Support
Severity definitions: P1 (critical outage – core functions unavailable); P2 (material degradation – major function impaired); P3 (minor defect – workaround available); P4 (general enquiry). Target initial response times: P1 within 4 business hours; P2 within 8 business hours; P3 within 2 business days; P4 within 5 business days. BuiltGrid will provide progress updates for P1 at least every 8 hours until mitigation. Support is provided during AEST business hours unless otherwise agreed in the Order Form.

G. Security and Incident Management
BuiltGrid maintains commercially reasonable security measures, including access controls, encryption in transit, vulnerability management and logging/monitoring. If BuiltGrid becomes aware of unauthorised access to Client Data within BuiltGrid Connect, it will notify Client and provide available information about the nature of the incident, affected data if known and remediation steps, subject to law‑enforcement restrictions. Client will cooperate in any reasonable remediation and notifications required by law.

H. Data Processing and Sharing
Roles. For Client Data, Client is the data controller and BuiltGrid acts as a service provider or processor. BuiltGrid will process Client Data only to provide BuiltGrid Connect, fulfil obligations under this Addendum and comply with law.

Supply‑Chain Sharing. BuiltGrid Connect enables Client to share selected project and job data to nominated suppliers and partners. Client is responsible for configuring such sharing and for ensuring it has the necessary rights and notices to do so.

Data Retention and Deletion. Upon termination or at Client’s written request, BuiltGrid will make available a standard export of Client Data within 90 days and thereafter delete or de-identify Client Data from active systems, subject to backups and legal retention requirements.

I. Usage Limits and Fair Use
Usage limits, including API call allotments, project volumes, integration counts and file size or frequency constraints, are specified in the Order Form. BuiltGrid may temporarily throttle or suspend abusive or materially excessive usage after notifying Client, and will work with Client to remediate usage patterns in good faith. Overage Fees, if any, are set out in the Order Form.

J. Fees, Invoicing and Payment
BuiltGrid Connect subscription Fees, implementation Fees and any volume‑based Fees are specified in the Order Form. Unless stated otherwise, Fees are invoiced annually in advance and payable within 14 days. Taxes including GST are additional. Reasonable travel and expenses are billable only if pre‑approved in writing by Client.

K. Warranties
BuiltGrid warrants that BuiltGrid Connect will materially conform to its documentation and that professional services will be performed with reasonable skill and care. Client warrants it has the necessary rights to provide Client Data and to enable sharing to suppliers and partners as configured by Client.

L. Intellectual Property and Deliverables
BuiltGrid retains all rights in the BuiltGrid Materials, including integrations, templates and tools developed or used in delivering BuiltGrid Connect. Client retains all rights in Client Data. Where the parties expressly identify a configuration, mapping or artefact in an SoW as a “Client‑Owned Deliverable,” Client owns that Deliverable, excluding any BuiltGrid Materials embedded in it, and grants BuiltGrid a non‑exclusive licence to host and use it to operate BuiltGrid Connect for Client.

M. Publicity
Either party may use the other party’s name or logo without prior written consent. Any case study or public media announcement will be mutually agreed.

N. Usage Verification
BuiltGrid may monitor usage via telemetry to verify compliance with the Order Form and usage limits. If usage materially exceeds limits, the parties will discuss in good faith and Client will pay applicable overage Fees or upgrade to an appropriate plan.

O. Term, Renewal and Termination Assistance
The initial term and any renewal periods for BuiltGrid Connect are set out in the Order Form. Unless otherwise stated, this Addendum renews automatically for successive terms unless either party gives at least 60 days’ notice prior to the end of the then‑current term. Upon termination or expiry, BuiltGrid will provide reasonable cooperation for transition, including up to 8 hours of termination assistance at no charge; additional assistance is billable at agreed rates.

P. Liability and Remedies
Service credits under clause E are Client’s sole and exclusive remedy for availability shortfalls. Each party’s aggregate liability under or in connection with this Addendum, whether in contract, tort, statute or otherwise, is limited to the total Fees paid by Client for BuiltGrid Connect in the 12 months preceding the event giving rise to the claim. Neither party is liable for indirect or consequential loss, or loss of profits, revenue, goodwill or data. The cap does not apply to Client’s payment obligations, infringement of BuiltGrid’s intellectual property, or breach of confidentiality.

Q. Compliance and Governance
Each party will comply with applicable laws in connection with its performance under this Addendum. Client remains responsible for its own procurement policies and supply‑chain compliance obligations. This Addendum is governed by the same law and jurisdiction as the Terms.
